The following Terms and Conditions apply to all Vinyum customers - trademark of WDN - WORLD DISCOUNT NETWORK, LDA, hereinafter referred to as WDN and also designated as an explorer - which register on their platform through the Internet address www.vinyum.com or from the app's downloaded from the Apple Store / Apple Store, from the playstore and regardless of the device from which access is made (computer, tablet or mobile phone).

If, according to the access device, the display of these Terms and Conditions is not adequate, you may contact WDN by email info@vinyum requesting it to be sent.

By accepting these Terms and Conditions you acknowledge that you have read, understood, fully agree with its content and that you acknowledge and agree that you are entering into a contract with WDN.

Registration process
It is only possible to access the Vinyum website and App and take advantage of the functionality of those who have accepted these Terms and Conditions at the time of registration.

The registration and participation in Vinyum is only allowed to users who are 18 years of age or older, legally capable of entering into contracts and acting only on their behalf and on their behalf.

Any activity or participation by users under the age of 18 years is considered illegal and will not be tolerated by WDN.

Access to and use of Vinyum's features, directly or through an intermediary, is prohibited to all minors, prohibited or declared incapable under civil law, as well as to all WDN employees and employees, regardless of the legal nature of the link.

Personal data and user identification
To be allowed to register and participate in Vinyum, you must provide your personal data in the registration form, which are mandatory. Without which registration can not become effective. The following personal data will be requested:

By providing your personal data above, you are authorizing Vinyum or persons designated by you as the data controller to process your personal data.

To this end, the user agrees to provide Vinyum with all the necessary documents for validation of the information contained in its registry, if requested.

If it proves necessary, Vinyum may verify identity by sending a copy of a document proving its identity, with photograph and date of birth. Initialed and indicating consent to the reproduction thereof.

Until Vinyum's identity is verified, Vinyum reserves the right to have its registration ineffective and will not be able to access it until the process of verifying its identity has been completed.

The user is solely responsible for providing the personal information and true bank information, keeping them permanently updated and can change them by accessing their profile preferences.


USER ACCOUNT

The user is obliged to keep his / her user account access information (username and password) confidential. If you feel at any time that the confidentiality of your data has been compromised, you must inform Vinyum immediately.

Vinyum has no responsibility for transactions made with the user's account whether or not they are recognized by the user.

Vinyum considers the user session valid as soon as the login is made with the correct username and password. From that moment Vinyum can not be held responsible for the unauthorized use or improper use of personal data.

Failure to meet the identified identification requirements reserves the right to Vinyum to suspend the user account and void any type of pending transaction.

Only one user account per person will be issued and duplicate accounts will not be created. Any such attempt will be denied and any user accounts involved will be suspended.

Any attempt to create user accounts by entering manipulated personal data or any other method may lead to the termination or deactivation of the account of the intended user. Vinyum therefore reserves the right to revoke access to promotions obtained by the user using duplicate accounts. The balance of your User Account is unique. By registering for Vinyum you accept the general terms and conditions and, in particular, accept to receive information about promotional offers and you are able to consult such information and use them when you comply with the conditions and assumptions for its attribution until you manifest the will to cancel.

If any activity of the user account that is considered fraudulent and that is not in accordance with the activities contemplated in these Terms and Conditions, or in the case of verification of the occurrence of patterns of consumption, or systematic repetitions, that can evidence the practice of irregular or unlawful conduct, Vinyum reserves the right to investigate these activities, transmitting to the competent authorities the results of the diligences it carries out, with whom it will cooperate and on whose guidelines it will obey.


User account data
Vinyum may require any user to submit documentation under the terms of the law, in order to validate its identity. While the validation criteria are not satisfied, the user may be prevented from using the features offered by Vinyum

The client is solely responsible for submitting the legitimate documentation.

Under the terms of the legislation in force, the client, by accepting these terms and conditions, declares and acknowledges the following rights and duties:

The user's rights are:
• Access promotions;
• Access the information on the site and in the APP;
• Acquiring the products that it understands, without any type of coercion or manipulation;
• Have, at any time, information on the history of the products purchased;
• Identify yourself in a secure way with Vinyum;

It is your duty to:
• Identify properly with Vinyum;
•    Obey the law;
• Do not disturb the normal operation of the platform and app;

VINYUM has a customer complaints service. Being your focus on customer satisfaction, Vinyum will do everything in its power to solve the problems reported by the customer as soon as possible.

The user can submit their complaint through the address users@vinyum.com.

FUNCTIONING OF VINYUM

Vinyum is a wine promotion platform that ensures the application of commercial conditions to the various market players, from the producer to the final consumer and its use is totally free to the final consumer.

It is a platform, present via app and website, which offers discounts to the final consumer, presented by the points of sale. These points of sale are compensated with bonuses (product offers), supported by the producers, distributors and storekeepers involved in the supply chain of the products.

The different types of users, each with its unique and specific type of BackOffice that allow the management and monitoring of its commercial activity, consist of:

- Producers
- Warehouses
- Distributors
- Outlets
- Final costumer

Each user is requested to create their own profile in the platform, through the insertion of specific information, essential to the operation of the platform and triggering of advantages and responsibilities.

Through this profile, each type of user accesses various functionalities related to their activity with Vinyum.

The system promotes the creation and use of networks of different levels and can encompass as many levels and actors as the producers or warehousemen or adherent distributors wish.

For each of the actors are defined:

- Bonus (product offers);
- Promotions;
- Replacement rules of product and;
- Conditions of sale in general.

The bonuses are processed and owed by the various players in the networks to the various points of sale after the completion and registration of the sale to the final consumer confirmed by the owner, in BackOffice made available by the platform (via app and website).

The integration of producers, stockists, distributors and points of sale to Vinyum and the respective maintenance of networks is made through the payment of commission on sales, and there is no place at any cost of membership.

1. For Producers

1.1. Discount

In addition, the possibility of seeing their products and their technical characteristics and awards and honorable mentions promoted at no cost to which were added the criticisms of professionals and the dissemination of events and results of evidence and chronicles on wine regions, among others .

The final consumer is given the opportunity to comment on the wines they have consumed. 1.7. Events
Producers are given the opportunity to create promotional events for their products. They are visible in the app and on the website (with indication of time, location, general characteristics, etc.), and they can choose to restrict the viewing of those events to members or open the query to all consumers.

The publication is subject to the approval of Vinyum and in no case may contain any mention of xenophobic, sexual or any kind of discrimination, as well as not dealing with political or religious orientations or any and all other illegal or simply inappropriate content.

1.8. Multi-Market Promotion
The presence of product and producers in Vinyum is a powerful instrument of international promotion. In fact, a final consumer who has contacted - and liked - a particular wine in any country can look for outlets in other countries that have the same product; the result of this research is organized by proximity of the point of sale to the consumer.


2. For Warehousemen and Distributors

2.1. Discount

3. For points of sale

3.1. Discount
Sales outlets can apply significant discounts on the wines they present to their final consumers, and this cost is actually compensated in bonuses, in the form of a product, supported by the levels upstream of its network and due after the completion and registration of each sale to the final consumer.

3.2. Replacement and discount vs. bonus

4. For Final Consumer

4.1. Discount
The consumer to take advantage of the discounts only has to download the APP. The discount will be guaranteed as long as it is in effect by the producer.

When the sale is made the consumer receives in the APP a notification to confirm the purchase and verify the detailed information about the product, ie, which wine, which point of sale, what price, discount, and confirm the purchase.

From that moment on, the bonus process and stock replenishment will begin. All the members that passed this bottle are left with the information in their BackOffice about the bonus to send and the replacement.

The consumer can comment on the wine and get the information of their purchases in the APP. Everything that has been referred to APP can also be made on the website.

4.2. Point of sale information
The consumer can search by category of point of sale, and each point of sale has a small website within the APP and Vinyum site with all the information about you. The search can also be done by map. The consumer can also view events created from points of sale.

4.3. Wine information / content
The consumer can search for almost all parameters related to wines and can also see the points of sale where these wines exist.

Each wine has technical data sheets available and reliable, since all the information about the wines is loaded by the producers. Also has information about the producers.

4.4. Responsibilities

4.4.1. Producers
The producer guarantees the offer of the bonus amount that corresponds to him and that has been defined in the active network plan. It is also the obligation of the producer to report on changes in the price of the products, since the value of the commission paid to WDN is a percentage of the value of the sale. It is the obligation of the producer to provide the data requested by Vinyum in the defined format. This data will be about the wines and the producer.

4.4.2. Warehousing
The storekeeper guarantees the offer of the bonus that corresponds to him defined in the active network plan, plus the bonus that receives from the previous level. The storer is also responsible for informing about changes in the price of the products.

4.4.3. About us
The dealer guarantees the offer of the bonus corresponding to him, defined in the active network plan, plus the bonus he receives from the previous level. The distributor also has the responsibility to inform about changes in the price of the products.

4.4.4. Outlets
The point of sale has the obligation to make the discount to the final consumer.

4.4.5. End Consumers
Consumers download the APP completely free of charge, register and have access to all the benefits and information of Vinyum. The website also has all the information and permits registration. The consumer has access to all your history and favorites.

4.4.6. Bonus End Consumers

It is the responsibility of final consumers who receive bonuses from WDN in the form of a gift card or, in any other format, to communicate these incomes to the tax authorities of their respective countries.
